LEGAL GUIDANCE

Choosing a business structure in The Gambia

Choose the legal structure around ownership, control, funding and responsibility before preparing registration documents.

Which decisions come before registration?

List the people or organisations investing, what each will contribute and who will make decisions. A sole-owner venture, a partnership, a locally incorporated company and an existing overseas business create different questions. The simplest-looking registration route may not fit how the business will operate.

Consider whether an investor needs shares, a contractual return or repayment of a loan. A promise of a percentage of profits should not be left as an informal substitute for an agreed ownership arrangement.

Compare the structures against your actual needs

  • Responsibility: who will sign contracts, employ staff and bear obligations?
  • Control: who appoints managers and approves borrowing, spending or new investors?
  • Funding: how will contributions, further capital and withdrawals be recorded?
  • Continuity: what happens if an owner dies, leaves or cannot participate?
  • Exit: can an interest be transferred, and how will its value be assessed?

These are questions for a comparison of options, not a promise that any structure removes every personal, tax or commercial risk.

What documents should support the application?

The Ministry of Justice publishes the company registration route and supporting records. Gather the proposed ownership details and identify any non-resident owners or directors early. Confirm the current forms and filing requirements for the structure selected.

The registration documents and any separate agreement between owners should work together. For example, a proposed investor veto or exit arrangement needs proper drafting and review rather than a note in an email.

What remains after registration?

Make a separate list for tax, banking, premises, staffing and any sector permission. Identify who will maintain the company records and arrange ongoing filings. If an overseas company is involved, coordinate its own approvals with the Gambian work.

Agree the scope of the company formation instruction before work starts: structure advice, application preparation, owners’ agreements and operational contracts may be separate tasks.
