LEGAL GUIDANCE

Property funds and REIT proposals in The Gambia: what to check

Examine the proposed vehicle, manager, offering terms and legal status before investing in or promoting a pooled property scheme.

What does the label tell an investor?

A proposal described as a property fund or real estate investment trust needs more than a familiar label. Establish the jurisdiction and legal form of the vehicle, who owns the assets and the legal rights offered to investors.

Do not assume that a REIT regime, tax treatment or regulatory approval from another country applies to a Gambian project. Ask which law and approval the promoter relies on, and obtain advice on the exact structure.

Which documents should be requested?

  • Formation and ownership records for the vehicle and manager.
  • The offering or investment memorandum and subscription agreement.
  • Evidence supporting any regulatory status claimed.
  • Property records, valuations, borrowing and security documents.
  • Fee, distribution, reporting and investor-exit provisions.

Compare promotional statements with the binding documents. A forecast yield is different from an enforceable payment obligation, and an obligation still depends on the payer’s ability to perform.

Where do the main practical risks arise?

Consider how investors can obtain information, challenge a decision or exit. Property may take time to sell, while a scheme may promise earlier withdrawals. Ask how that mismatch is managed and whether withdrawals can be delayed.

Identify related-party transactions, manager incentives, borrowing limits and who assesses asset values. Financial analysis and investment suitability require appropriate advice alongside the legal review.

What should a promoter resolve before marketing?

Map the countries where investors will be approached, the role of intermediaries and the activities of the manager. Obtain advice on the relevant regulatory, tax and offering requirements before taking subscriptions or publishing claims of approval.

The Gambian property work should cover title, acquisition terms and operating arrangements. For a small group pooling money privately, read investment club governance; for development projects, see preparing a land investment brief.
