LEGAL GUIDANCE

Coordinating a business transaction across West Africa

Map the parties, countries, contracts and assets so that each legal question reaches an adviser in the relevant jurisdiction.

Where does the transaction create legal obligations?

Begin with a simple transaction map: the place of incorporation of each party, where work or delivery occurs, where payment is made and where important assets are held. A Gambian business may still face legal questions in another country when it hires staff, appoints a distributor or acquires property there.

Ask which parts of the proposed work Solie Law Chambers will undertake and where separate local advice is needed. A regional commercial relationship should not be described as a single legal system or as proof of admission to practise throughout West Africa.

Give advisers one consistent set of facts

Use a shared document list and a clear transaction summary. Explain the business objective, timetable, parties and any terms already accepted. Record which document version is current and who can approve changes.

  • Allocate company, tax, employment and regulatory questions by country.
  • Identify the adviser responsible for each answer and outstanding approval.
  • Clarify whether local opinions, translations or certified records are needed.
  • Agree how material advice will be reflected in the main contract.

How should disputes and enforcement be considered?

Review governing law, dispute resolution and the likely location of assets together. A clause may identify a court or arbitration process, but practical recovery also depends on the resulting decision and the enforcement route available where assets are located.

Discuss language, service of documents, evidence, costs and the steps required in each jurisdiction. See judgment enforcement where a decision already exists.

What should the engagement specify?

Agree the Gambian scope, local adviser arrangements, reporting responsibility and fee approvals. Avoid overlapping instructions that leave two firms assuming the other has checked a critical point. The final issues list should distinguish completed work, assumptions and matters still requiring a decision.

For transactions involving goods, distribution or payment arrangements, the international trade and compliance practice provides the relevant starting point.
